TERMS & CONDITIONS OF SALE AND SERVICE
Effective Date: September 9, 2026
These Terms & Conditions of Sale and Service (“Terms”) apply to all estimates, proposals, quotations, work orders, service calls, installations, repairs, maintenance services, product sales, access-control services, locksmith services, and other work performed or materials supplied by Bonafide Lock & Safe, Inc. (“Bonafide,” “Company,” “we,” “us,” or “our”).
By accepting an estimate or proposal, signing a work order, authorizing work verbally or electronically, scheduling service, submitting a purchase order, allowing work to proceed, or accepting products or services from Bonafide, the customer (“Customer”) agrees to these Terms.
1. Scope of Work
Bonafide will perform the services and provide the materials described in the applicable estimate, proposal, work order, service ticket, purchase order acknowledgment, or other written scope of work.
Only work specifically identified in the approved scope is included.
Any additional work, unforeseen conditions, customer-requested modifications, code-related corrections, concealed conditions, or additional materials discovered after work begins may result in additional charges.
Verbal requests made to a Bonafide technician by the Customer or the Customer's authorized representative may constitute authorization for additional work when reasonably necessary to complete the requested service.
2. Customer Authorization
The Customer represents and warrants that it:

Owns the property or equipment being serviced; or
-
Has lawful authority from the owner to authorize the work; and
-
Has authority to order keys, duplicate keys, rekey locks, gain entry, modify locking hardware, alter access-control systems, or otherwise request the services being performed.
Bonafide may request identification, proof of occupancy, proof of ownership, written authorization, or other documentation before performing locksmith or security-related services.
Bonafide may refuse service when ownership or authorization cannot reasonably be verified.
3. Estimates and Proposals
Unless otherwise stated in writing, estimates and proposals are valid for 30 days.
Estimates are based upon conditions reasonably observable or information available when the estimate is prepared.
Pricing may be adjusted when:

Site conditions differ from information originally provided;
-
Concealed damage or conditions are discovered;
-
Existing hardware is incompatible with proposed equipment;
-
Additional labor or materials are required;
-
Manufacturer or supplier pricing changes after the validity period;
-
Permits, engineering, inspections, electrical work, networking, specialty fabrication, or other work not included in the original scope becomes necessary; or
-
The Customer modifies the requested scope.
Any material change to the scope may be documented through a revised proposal, change order, service ticket, email authorization, or other written approval.
4. Service Calls and Minimum Charges
Service calls may include minimum labor charges, trip charges, diagnostic charges, dispatch charges, parking, tolls, ferry expenses, travel charges, or other applicable fees.
A service or diagnostic charge compensates Bonafide for dispatching a trained technician and diagnosing the reported condition and is payable even when:

No repair is ultimately performed;
-
The Customer declines the recommended repair;
-
Replacement parts must be ordered;
-
The problem cannot be duplicated;
-
The issue is determined to be outside Bonafide's scope; or
-
The problem is caused by equipment or systems provided by others.
5. Labor Rates
Labor is billed according to the rates stated in the applicable proposal, work order, service agreement, or current Bonafide rate schedule.
Charges may differ for:
-
Regular business hours;
-
After-hours service;
-
Emergency service;
-
Weekends;
-
Holidays;
-
Prevailing-wage work;
-
Specialized access-control programming;
-
Safe work;
-
Specialty door or hardware work; and
-
Projects requiring multiple technicians.
Unless otherwise stated, labor time may include reasonable travel, mobilization, setup, testing, programming, cleanup, documentation, and administrative time directly associated with the service.
6. Payment Terms
Unless different payment terms are stated in writing, payment is due upon completion of service or receipt of invoice.
Customers with Bonafide-approved credit accounts will be subject to the payment terms stated on their invoice or account agreement.
The Customer may not withhold payment for undisputed portions of an invoice because another portion is disputed.
Invoices not disputed in writing within 15 days of receipt will be considered accepted, except for billing errors that could not reasonably have been discovered during that period.
7. Past-Due Accounts
Any undisputed balance remaining unpaid after its due date may accrue a finance charge of 1% per month (12% annually) or the maximum amount legally permitted, whichever is less.
The Customer is responsible, to the extent permitted by law, for reasonable costs incurred by Bonafide in collecting delinquent accounts, including collection-agency charges, court costs, lien-related expenses, and reasonable attorneys' fees when recoverable by contract or law.
Bonafide may place accounts with unpaid past-due balances on credit hold and may suspend non-emergency service until satisfactory payment arrangements are made.
8. Deposits
Bonafide may require a deposit before:
-
Ordering materials;
-
Scheduling installation;
-
Beginning fabrication;
-
Programming specialty equipment;
-
Starting large projects; or
-
Reserving substantial technician time.
Deposit requirements will be identified in the applicable estimate or proposal.
Once specially ordered, configured, programmed, fabricated, keyed, engraved, cut, or otherwise customized materials have been ordered, the associated portion of the deposit may become nonrefundable.
9. Special-Order and Custom Materials
Special-order, custom, configured, keyed, master-keyed, cut, engraved, programmed, fabricated, or otherwise customer-specific products generally cannot be returned.
Cancellation after materials have been ordered may result in charges for:
-
Materials already purchased;
-
Supplier cancellation charges;
-
Restocking fees;
-
Freight;
-
Programming;
-
Engineering;
-
Fabrication; and
-
Labor already performed.
Any permitted return is subject to manufacturer and distributor return policies.
10. Scheduling and Site Access
Scheduled service times represent Bonafide's best estimate.
Actual arrival or completion times may be affected by traffic, emergencies, prior service calls, supplier delays, weather, site conditions, access restrictions, or other circumstances outside Bonafide's reasonable control.
The Customer must provide timely and safe access to:

Doors;
-
Gates;
-
Locks;
-
Electrical rooms;
-
Network equipment;
-
Control panels;
-
Ceilings;
-
Wiring paths;
-
Equipment rooms; and
-
Other areas reasonably required to complete the work.
Waiting time caused by unavailable personnel, inaccessible areas, security clearance requirements, elevators, loading restrictions, or other Customer-controlled conditions may be billable.
11. Cancellations and Rescheduling
Service appointments should be cancelled or rescheduled as early as reasonably possible.
Bonafide may charge a cancellation or dispatch fee when:

A technician has already been dispatched;
-
A technician arrives and cannot gain access;
-
The Customer is unavailable;
-
Required authorization has not been obtained;
-
The site is not ready for the scheduled work; or
-
A project requiring reserved labor is cancelled on short notice.
Custom or special-order project cancellations remain subject to Section 9.
12. Hardware and Product Availability
Specified products may occasionally become discontinued, backordered, unavailable, or materially delayed.
When reasonably necessary, Bonafide may recommend an equivalent product.
Any substitute materially affecting the function, appearance, security level, or project price will be communicated to the Customer before installation whenever reasonably practicable.
13. Existing Conditions
Bonafide is not responsible for pre-existing defects or conditions, including:

Damaged doors or frames;
-
Improper previous installations;
-
Misaligned doors;
-
Worn hinges;
-
Structural movement;
-
Corrosion;
-
Water intrusion;
-
Defective wiring;
-
Unsupported network infrastructure;
-
Improper voltage;
-
Existing code violations;
-
Obsolete equipment;
-
Improper modifications by others; or
-
Hidden conditions that could not reasonably be identified before work commenced.
Repairs to these conditions are outside the original scope unless specifically included.
14. Doors, Frames, and Related Conditions
Locking hardware depends upon the proper operation and alignment of the door, frame, hinges, pivots, closers, thresholds, gates, and related components.
Repairing or replacing a lock or access-control device does not necessarily correct problems caused by an improperly operating door or frame.
If Bonafide identifies a condition materially affecting the operation of installed hardware, additional corrective work may be recommended.
15. Access-Control and Electronic Security Systems
Access-control, electronic locking, intercom, credentialing, and related security systems depend upon multiple components and services that may not be under Bonafide's control.
These may include:

Customer networks;
-
Internet connectivity;
-
Servers;
-
Cloud services;
-
Cellular service;
-
Electrical power;
-
Batteries;
-
Fire-alarm systems;
-
Building-management systems;
-
Third-party software;
-
Manufacturer servers;
-
Customer-provided computers;
-
Cybersecurity settings;
-
Credentials;
-
Licenses; and
-
Subscription services.
Unless expressly included in writing, Bonafide does not warrant the availability, performance, security, compatibility, or continued operation of third-party systems or services.
16. Customer Network and IT Responsibilities
When access-control or security equipment interfaces with the Customer's network, the Customer is responsible for providing suitable network infrastructure unless Bonafide has specifically agreed in writing to provide those services.
Customer responsibilities may include:

Internet connectivity;
-
Ethernet connections;
-
IP addresses;
-
VLAN configuration;
-
Firewall settings;
-
DNS;
-
Wi-Fi;
-
Remote-access permissions;
-
IT administrator assistance;
-
Cybersecurity approval; and
-
Appropriate data backups.
Additional troubleshooting caused by Customer network conditions may be billed separately.
17. Credentials, Codes, and Administrative Access
The Customer is responsible for controlling administrative credentials, keys, PINs, cards, fobs, mobile credentials, passwords, and system administrator access after delivery.
The Customer should promptly remove credentials belonging to former employees, contractors, tenants, or other individuals who should no longer have access.
Bonafide is not responsible for unauthorized access resulting from credentials, keys, passwords, cards, fobs, or codes that remain active under Customer control.
18. Security Disclaimer
Locks, access-control devices, safes, alarms, electronic security products, keys, and related equipment are intended to reduce security risks.
No security product or system can guarantee that unauthorized entry, theft, burglary, vandalism, property damage, cyber intrusion, or other loss will never occur.
Bonafide does not represent or warrant that any product or service will make a premises impenetrable or eliminate all security risk.
The Customer remains responsible for determining the level of security appropriate for its premises, property, personnel, and operations.
19. Life Safety and Code Compliance
Work involving fire-rated openings, egress doors, panic hardware, electrified locks, delayed-egress systems, controlled-egress systems, automatic operators, fire-alarm interfaces, or similar systems may be subject to applicable building, fire, electrical, accessibility, and life-safety requirements.
Bonafide may decline to perform work that it reasonably believes would create an unsafe or unlawful condition.
Customer-requested modifications remain subject to applicable code requirements regardless of the Customer's preference.
20. Permits and Inspections
Unless specifically included in the proposal, permit fees, plan-review fees, engineering, inspections, electrical permits, fire-alarm permits, low-voltage permits, and similar governmental costs are excluded from quoted pricing.
If a governmental authority requires additional materials or work that could not reasonably have been anticipated, such additional work may constitute a change in scope.
21. Warranty on Bonafide Workmanship
Unless a different written warranty is provided for a particular project, Bonafide warrants its installation and repair workmanship for 90 days from the date the applicable work is completed.
This workmanship warranty covers correction of defects caused directly by Bonafide's workmanship.
It does not cover:

Normal wear;
-
Abuse or misuse;
-
Vandalism;
-
Forced entry;
-
Customer modifications;
-
Work performed by others;
-
Door or frame movement;
-
Building settlement;
-
Water damage;
-
Power problems;
-
Network problems;
-
Acts of nature;
-
Lack of maintenance;
-
Consumable items;
-
Batteries; or
-
Product failure unrelated to Bonafide's installation.
22. Manufacturer Warranties
Products supplied by Bonafide may carry warranties issued by their manufacturers.
Manufacturer warranty claims are governed by the manufacturer's terms, exclusions, and procedures.
Bonafide may assist with manufacturer warranty claims, but Bonafide does not independently extend or enlarge a manufacturer's warranty unless expressly stated in writing.
Labor, freight, shipping, removal, programming, reinstallation, or travel required for a manufacturer's warranty claim may not be included unless specifically covered by the manufacturer or by a separate Bonafide warranty.
23. Warranty Service Procedure
The Customer must notify Bonafide of a claimed workmanship defect within the applicable warranty period and provide a reasonable opportunity for Bonafide to inspect and correct the condition.
The Customer should not authorize another contractor to modify or repair the affected work before giving Bonafide a reasonable opportunity to inspect it, except when immediate action is reasonably necessary to protect life or property.
Unauthorized modification of Bonafide's work may void the applicable workmanship warranty.
24. Rekeying and Key Systems
When Bonafide rekeys a facility, Bonafide is responsible only for cylinders and openings included in the documented scope.
Unless a complete key-control audit is specifically included, Bonafide does not guarantee that:

Every existing key has been accounted for;
-
Every door has been identified;
-
Unauthorized duplicate keys do not exist;
-
Unidentified cylinders are not present; or
-
Previously issued credentials have been recovered.
Master-key systems should be managed as controlled security systems. The Customer is responsible for authorization of future key issuance.
25. Restricted and Controlled Keys
Restricted or patented key systems may require authorization before keys or cylinders are supplied.
Bonafide may rely upon its records and reasonably satisfactory authorization from the Customer's designated representatives.
The Customer is responsible for promptly advising Bonafide when authorized personnel change.
26. Safe and Vault Services
Opening, drilling, repairing, moving, servicing, or manipulating safes and vaults can result in unavoidable cosmetic or physical changes.
When destructive entry is reasonably required, Bonafide will make reasonable efforts to minimize damage but does not guarantee damage-free opening.
Repair or replacement of decorative finishes, cabinetry, flooring, walls, anchoring surfaces, contents, or surrounding construction is excluded unless expressly included in the scope.
27. Customer-Supplied Products
Bonafide may, at its discretion, install Customer-supplied equipment.
Unless otherwise agreed in writing:
-
Bonafide does not warrant Customer-supplied products;
-
Additional labor caused by incorrect, defective, incomplete, incompatible, or missing Customer-supplied equipment is billable; and
-
Removal or reinstallation of defective Customer-supplied equipment is billable.
28. Change Orders
A change to the original scope may result in an adjustment to price and completion schedule.
Change orders may arise from:
-
Customer requests;
-
Concealed conditions;
-
Code requirements;
-
Product substitutions;
-
Additional openings;
-
Wiring conditions;
-
Door or frame conditions;
-
Network requirements;
-
Engineering changes; or
-
Other circumstances not reasonably included in the original scope.
Electronic approval, email approval, signed service tickets, written purchase orders, or other documented Customer authorization may constitute approval of a change order.
29. Completion and Acceptance
Work will be considered substantially complete when the system, hardware, repair, or service is capable of performing its principal intended function, notwithstanding minor punch-list items that do not materially prevent its use.
Minor warranty or punch-list items do not relieve the Customer from paying undisputed amounts when due.
30. Delays Beyond Bonafide's Control
Bonafide will not be responsible for delays caused by circumstances reasonably outside its control, including:

Manufacturer delays;
-
Supply-chain interruptions;
-
Shipping delays;
-
Labor shortages;
-
Severe weather;
-
Government actions;
-
Site shutdowns;
-
Customer delays;
-
Utility interruptions;
-
Internet or telecommunications outages;
-
Fire;
-
Natural disaster;
-
Civil disturbance; or
-
Similar events.
Project schedules will be reasonably extended when such events occur.
31. Limitation of Liability
To the maximum extent permitted by applicable law, Bonafide will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from its products or services, including loss of profits, loss of use, loss of business, loss of data, or business interruption.
Except for liability that cannot legally be limited, Bonafide's aggregate liability arising from a particular service, project, or transaction will not exceed the amount actually paid to Bonafide for the specific portion of work giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
32. Damage to Concealed Conditions
Bonafide will exercise reasonable care when drilling, cutting, fastening, coring, or mounting equipment.
The Customer is responsible for advising Bonafide of known concealed utilities or conditions.
Bonafide is not responsible for damage to concealed wiring, plumbing, utilities, reinforcement, hazardous materials, or other conditions that:

Were not reasonably visible;
-
Were not properly marked; and
-
Were not disclosed to Bonafide before work began,
except to the extent caused by Bonafide's failure to exercise reasonable care.
33. Hazardous Materials
Unless expressly included in writing, Bonafide's scope does not include identification, testing, handling, removal, or remediation of asbestos, lead, mold, hazardous chemicals, contaminated materials, or other hazardous substances.
If suspected hazardous materials are discovered, Bonafide may stop work until the condition is evaluated and addressed by qualified personnel.
Associated delays and remobilization may result in additional charges.
34. Work by Others
Bonafide is not responsible for work performed by electricians, door contractors, general contractors, IT providers, alarm companies, fire-alarm contractors, network administrators, property-maintenance personnel, manufacturers, or other third parties.
Bonafide's warranty does not extend to failures caused by the acts, omissions, modifications, programming, or equipment of others.
35. Photographs and Documentation
Bonafide may photograph or document equipment, doors, hardware, wiring, system configuration, and work areas when reasonably necessary for:
-
Estimating;
-
Service documentation;
-
Warranty records;
-
Technician support;
-
Quality assurance;
-
Training;
-
Manufacturer support; or
-
Project records.
Customer-confidential information will not knowingly be used for public marketing without appropriate authorization.
36. Ownership of Materials Until Paid
To the extent permitted by law, materials supplied by Bonafide remain subject to Bonafide's contractual and statutory rights until all amounts due for those materials and associated services have been paid.
Nothing in these Terms waives any lien, collection, or other remedy available to Bonafide under applicable law.
37. Washington Contractor Disclosure Requirements
When Washington law requires Bonafide to provide a statutory contractor disclosure statement or other notice, that notice will be provided separately and is incorporated into the applicable agreement.
These Terms do not replace any disclosure or notice required by Washington law.
38. Purchase Orders
A Customer purchase order is accepted solely for administrative convenience.
Terms printed or incorporated into a Customer purchase order do not modify these Terms unless Bonafide expressly agrees to the modification in a separate writing signed by an authorized representative of Bonafide.
Bonafide's performance of work or acceptance of a purchase order does not, by itself, constitute acceptance of additional or conflicting Customer terms.
39. Disputed Charges
Any billing dispute should be submitted promptly in writing and should identify:

The invoice number;
-
The specific disputed charge;
-
The amount disputed; and
-
The basis for the dispute.
The Customer remains responsible for timely payment of all undisputed amounts.
The parties agree to make reasonable good-faith efforts to resolve billing disputes before commencing formal proceedings.
40. Governing Law and Venue
These Terms and any transaction between Bonafide and the Customer will be governed by the laws of the State of Washington, without regard to conflict-of-law principles.
To the extent legally permissible, any legal proceeding arising from the transaction shall be brought in a court of competent jurisdiction located in King County, Washington, unless another venue is required by applicable law.
41. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
Any unenforceable provision will be interpreted as narrowly as necessary to make it enforceable where legally permissible.
42. No Waiver
Bonafide's failure to enforce any provision on one occasion does not waive its right to enforce that provision or any other provision in the future.
43. Entire Agreement and Order of Priority
The complete agreement for a particular transaction consists of:

Any specifically negotiated written contract or service agreement;
-
The accepted Bonafide proposal or estimate;
-
Approved written change orders;
-
The applicable work order or service ticket; and
-
These Terms & Conditions.
If documents conflict, a specifically negotiated and signed provision controls over a general provision contained in these Terms.
44. Electronic Communications and Signatures
The parties may transact business electronically.
Electronic signatures, email approvals, electronically accepted estimates, digital work-order signatures, and other electronic records may be treated as written authorization to the extent permitted by applicable law.
45. Customer Acknowledgment
By authorizing Bonafide to perform work, approving an estimate, signing a work order, issuing a purchase order accepted by Bonafide, accepting delivery, or otherwise accepting Bonafide's services, the Customer acknowledges that it has had the opportunity to review these Terms and agrees to be bound by them.
